Terms of Service
Last updated: October 24, 2026 • Effective immediately
Total Code Ownership & Transparency
At InfoCaptia, our legal agreements are built around a simple principle: you retain 100% ownership of your proprietary software, source code, and design assets upon milestone completion. We believe in building long-term partnerships through engineering excellence, not vendor lock-in.
1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and engagement with InfoCaptia ("we," "our," or "us"), including our website at infocaptia.com, our services, proposals, Statement of Works (SOWs), and software deliverables. By engaging our services, signing a proposal, or utilizing our website, you agree to be bound by these Terms.
2. Scope of Engineering Services
InfoCaptia provides full-cycle software design and engineering solutions, including:
Custom Web Applications & MVPs
High-performance React and Next.js digital platforms.
AI & Automation Integration
RAG pipelines, custom chatbots, and document intelligence.
Dedicated Developer Hiring
Full-time or part-time vetted software engineers for your team.
White-Label Agency Engineering
Confidential backend & frontend delivery under your brand.
3. Intellectual Property & Code Ownership
We believe clients should own what they pay for:
- Complete Ownership Transfer: Upon full payment of the agreed milestone invoices, all intellectual property rights, source code, database architectures, graphics, and custom documentation engineered specifically for your project belong exclusively to you.
- Open Source & Standard Libraries: Projects may utilize open-source libraries, frameworks (such as Next.js, React, Node.js, and PostgreSQL), and third-party APIs which remain subject to their respective open-source licenses (e.g., MIT, Apache 2.0).
- Zero Lock-in: We deliver code directly to your private GitHub, GitLab, or Bitbucket repositories with comprehensive documentation, ensuring your team can take over maintenance at any time.
4. Engagement Models & Payment Terms
Every project is governed by a written Statement of Work (SOW) or engagement agreement outlining:
- Fixed-Price Milestone Sprints: Payments are structured across verifiable milestones (e.g., Discovery/Architecture, Frontend Prototype, Full-Stack Build, Final QA & Production Deployment). Invoices are due upon milestone sign-off.
- Dedicated Developer Retainers: Billed on a monthly cadence in advance. Dedicated resources plug directly into your daily standups and communication channels.
- Payment Methods: Invoices are payable via international bank wire, SWIFT, ACH, or major credit/debit gateways within 14 calendar days of issuance unless otherwise agreed.
5. Non-Disclosure & Confidentiality
Both parties agree to treat all business information, source code, system credentials, customer data, and trade secrets as strictly confidential. We are happy to execute mutual Non-Disclosure Agreements (NDAs) prior to receiving proprietary specifications, designs, or access tokens.
6. Post-Deployment Warranty & Support
We stand firmly behind the quality of our code:
- 30-Day Bug Warranty: We provide a complimentary 30-day warranty following production deployment to fix any bugs, discrepancies, or regressions that deviate from the agreed specifications at zero additional charge.
- Ongoing SLA Support: For ongoing feature development, server monitoring, security patching, and cloud scaling, we offer tailored monthly maintenance packages.
7. Limitation of Liability
To the maximum extent permitted by applicable law, InfoCaptia shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from third-party API outages, client hosting downtime, unauthorized third-party access, or modifications made to delivered code by external parties. Our total liability for any claim arising out of an engagement shall not exceed the total fees paid by the client under the applicable Statement of Work.
8. Governing Law & Modifications
These Terms shall be interpreted and governed in accordance with applicable laws, with jurisdiction designated in your primary Statement of Work. We reserve the right to update these terms periodically to reflect changes in our services or legal requirements. Material changes will be posted to this page with an updated revision date.
